| PUBLIC INVITATION TO TENDER FOR PRE-QUALIFICATION FOR SELECTION OF A STRATEGIC PARTNER FOR A JOINT VENTURE IN THE PROJECT BLOCK 1 – 300MW IN THE THERMAL POWER PLANT BANOVIĆI
BANOVIĆI BROWN COAL MINE CO. BANOVIĆI Pursuant to Article 7 of the Law on Public Procurement B&H (Official Gazette of B&H No. 49/04) and Article 18 of the Regulations on Public Procurement of Goods, Services and Works in RMU Banovići No. 2833/09 dated 17 March 2009 and on the basis of the Federal Government Decision V.No. 98/10 dated 15 February 2010; V.No. 189/10 dated 24. March 2010; V.No. 296/10 dated 14 April 2010 and on the basis of the By-Law of RMU “Banovići” d.d. Banovići Article 203 for the preparation and construction of RiTE Banovići, block 1 – 300 MW, and on the basis of the Decision of the director No. 640/10 dated 12 July 2010, issues the following: PUBLIC INVITATION TO TENDER FOR PRE-QUALIFICATION FOR SELECTION OF A STRATEGIC PARTNER FOR A JOINT VENTURE IN THE PROJECT BLOCK 1 – 300MW IN THE THERMAL POWER PLANT BANOVIĆI I Rudnici mrkog uglja „Banovići“ d.d. Banovići shall select a strategic partner for a joint venture in the Project Block 1 – 300 MW in the Thermal Power Plant. II Partnership of RMU „Banovići“ d.d. Banovići with future strategic partners shall be regulated by a separate contract and shall be based on of the following four principles:
1. Federation of B&H shall remain the owner of natural resources, without privatization,
2. Distribution of electricity generation i.e. return of investment in electricity generated,,
3. Constructed building is a guarantee for the investment,
4. Joint management of a joint company and making decisions on strategic issues using consensus.
Partnership of the RMU „Banovići“ d.d. Banovići with future strategic partners may be based on a way that a strategic partner provides funding of the project through the contract of long-term takeover of electricity, loan repayment, (without establishing a joint venture) or by establishing a joint venture. III Selection of a strategic partner shall be made on the basis of an international invitation to tender, which will have two phases:
- Phase I: Pre-qualification, within which a list of qualified candidates will be established;
- Phase II: Collection of offers from qualified candidates, within which the most favorable tender – a strategic partner shall be selected. IV The Prospective Tenderer interested in a strategic partnership that is based on a joint venture establishment (Article II, paragraph 4 of the Public Invitation) shall be required to meet the following qualification criteria as a condition for the participation in the 2nd phase of the selection – Collection of offers for strategic partnership: Shall have been professionally able to engage in one or more activites within the electric power industry, such as generation, transmission, distribution and/or trade in electricity within the last 5 years. If the Prospective Tenderer is a Consortium, the Lead Member must be a company that for the last five years shall have been engaged in one or more activities within the electric power industry, such as generation, transmission, distribution and/or trade in electricity within last five years; Shall have made a profit of minimum EUR 100 million within the last three years; if the Prospective Tenderer is a Consortium, then the Lead Member shall have made a profit of at least EUR 50 million within the last three years; Should own/co-own one or more power production facilities, of which at least one is a thermal power facility with installed capacity of 200MW or more; Should have available own funds in the amount required for the project realization for the planned period of construction of six years (by the dynamic plan of constructing the facilitie) or a statement/certificate of financial institution that it would provide necessary financial fund in the mentioned construction time period years (by the dynamic plan of constructing the facilitie); Should accept principles of the strategic partnership stated in the Article II, Paragraph 1, 3 and 4 of this Public Invitation; Should accept investment and environmental documentation prepared by RMU “Banovići” d.d. Banovići (at the lever of Prefeasibility Study) as starting basis for further development of the joint project.
The Prospective Tenderer interested in a strategic partnership based on the contract of long-term takeover of electricity or on the loan agreement (Article II Paragraph 2 of this Public Invitation) shall be required to meet the following qualification criteria as a condition in participation in phase 2 of this selection – Collection of offers for strategic partnership: Shall have been professionally able to engage in the activity for which it is registered within the last five years; Shall have had a turnover of at least EUR 2 billion within the last three years. If the Prospective Tenderer is a Consortium then the Lead Member should have a turnover of at least EUR 1 billion within the last three years; Shall have made a profit of at least EUR 100 million within the last three years. If the Prospective Tenderer is a Consortium then the Lead Member should make a profit of at least EUR 1 billion within the last three years; Should have available own funds in the amount required for the project realization for the planned period of construction of six years or a statement/certificate of financial institution that it would provide necessary financial fund in the mentioned time period; Should accept principles of the strategic partnership stated in the Article II, Paragraph 1, 3 and 4 of this Public Invitation in the event that the Prospective Tenderer ensures project financing through a contract of long – term takeover of electricity, and in the event that the Prospective Tenderer ensures project financing through a loan agreement, it should accept principles of a strategic partnership stated in Article II Paragraph 1 and 3 of this Public Invitation; Should have accepted investment and environmental documentation prepared by RMU “Banovići” d.d. Banovići (at the lever of Prefeasibility Study) as starting basis for further development of the joint project.

Banovići website: www.rmu.ba – javne nabavke. V Deadline for submission of the application prepared in accordance with the Pre-qualification Document is 06.September 2010. VI Prequalification participants who meet the criteria for qualification shall enter 2nd phase of the strategic partner selection and they shall be provided with Tender Documents (the Tender documentation is free of charge) and Non – Disclosure Agreement. VII The RMU “Banovići” d.d. Banovići shall reserve the exclusive right to freely and at any time make the decision on the withdrawal, completion or termination of this pre – qualification procedure and/or tender phases of the procedure (collection of offers).
